General Terms and Conditions of InfinityBlockchain LLC

Effective Date: April 2026

1. Acceptance of Terms

By creating an account, accessing, or using the services provided by InfinityBlockchain LLC through infinityblockchain.io, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

Age Requirement: You must be at least 18 years of age to use the Platform.

2. Definitions

  • Platform — infinityblockchain.io and all associated services, dashboards, and the IB Metaverse Mall.
  • User — Any individual or legal entity that creates an account or uses the Platform.
  • Standard Affiliate — A registered user earning commissions on direct referrals only, at no cost.
  • Affiliate Pro — A paid membership with enhanced commissions, team bonuses, and Token Participation.
  • Commission — Monetary credit earned through valid referral activity per Section 5.
  • Team Bonus — Additional commissions for Affiliate Pro users on service purchases up to 3 levels deep.
  • Token Participation — 0.5% of total token supply granted to Affiliate Pro members on directly referred Token Creation Projects.
  • Qualifying Purchase — A completed, confirmed, non-refunded service or product purchase.
  • Available Balance — Cleared commission balance eligible for payout. Minimum $100.00 required to request a payout.
  • Pending Balance — Commissions awaiting confirmation period before becoming available.
  • Processing Fee — A 2% fee automatically deducted from each payout request.
  • IB Token — The InfinityBlockchain Token (BEP-20, BNB Smart Chain), a profit-participation security token.
  • MetaMask Wallet — The external wallet to which IB Tokens are delivered.
  • Metaverse Mall / IB Mall — The virtual 3D environment at mall.infinityblockchain.io.

3. Account Registration

  • Provide accurate and complete registration information including name, email, and physical address.
  • B2B accounts require company name, VAT ID, and registration number.
  • One account per person or legal entity only.
  • You are responsible for account security. Enable 2FA strongly recommended.
  • Account activated after email verification.

4. Services Description

  • Affiliate Marketing Platform — Referral-based commission system. Standard: 1 level. Affiliate Pro: up to 3 levels plus Token Participation.
  • Digital Services — Token creation, NFT creation, ICO launch, and exchange listing services.
  • Affiliate Pro Membership — Paid optional membership for enhanced commissions and features. Fee in dashboard.
  • IB Token — Profit-participation digital asset under Reg D/Reg S. Governed by Token Purchase Agreement.
  • IB Metaverse Mall — Virtual 3D business environment. Governed by Section 19 and Mall Rental Terms.

5. Referral Program & Commissions

5.1 Standard Affiliate (Free)

  • Direct service referral: 10% of qualifying service purchase value
  • Direct Affiliate Pro upgrade referral: 10% of applicable Affiliate Pro fee
  • Team earnings: None
  • Token Participation: Not available

5.2 Affiliate Pro Commission Structure

  • Direct service referral: 30% of qualifying service purchase value
  • Direct Affiliate Pro upgrade referral: 30% of applicable Affiliate Pro fee
  • Team Bonus Level 1: 5% of qualifying service purchases
  • Team Bonus Level 2: 3% of qualifying service purchases
  • Team Bonus Level 3: 2% of qualifying service purchases

Team Bonuses apply to service purchases only. No Team Bonus on Affiliate Pro upgrade fees at any level. All commissions are percentage-based. No fixed dollar amounts guaranteed.

5.3 Token Participation (Affiliate Pro Only)

  • 0.5% of total token supply for directly referred Token Creation Projects (Level 1 only).
  • Delivered to registered wallet after project completion. Carries no guaranteed monetary value.
  • Does not apply to the IB Token.

6. Payment Terms

  • Accepted Methods — Credit/Debit Card via Stripe (PCI DSS Level 1) and Cryptocurrency via CoinPayments (USDC).
  • Currency — All prices in USD unless otherwise stated at time of purchase.
  • IB Token Delivery — Exclusively to MetaMask wallet (BEP-20) provided at purchase. Cannot be changed after confirmation.
  • Processing Fees — All fees charged by the Platform are non-refundable processing fees for services rendered. Payment processing fees charged by Stripe or CoinPayments are passed through to the user where applicable and are non-refundable regardless of the outcome of the underlying transaction.
  • Third-Party Processors — Card payments are processed by Stripe, Inc. (PCI DSS Level 1 compliant). Cryptocurrency payments are processed by CoinPayments via USDC. By making a payment, you agree to the respective processor’s terms of service. The Company does not store full credit card details on its servers.

7. Payouts

7.1 Minimum Payout Threshold

The minimum payout request amount is $100.00 (USD). Users must accumulate at least $100.00 in available balance before a payout request can be submitted.

Available balance must reach the $100.00 minimum threshold before a payout can be requested. Pending balance does not count toward the threshold until it clears the confirmation period.

7.2 Payout Methods

Users can select their preferred payout method in the Platform dashboard (Backoffice). Available methods:

  • Bank Transfer (IBAN/BIC) — Funds transferred in USD to your registered bank account.
  • Cryptocurrency Wallet — Funds transferred in USDC or other supported cryptocurrencies to your registered crypto wallet address.

Payout method selection and bank/wallet details must be configured in your profile settings before submitting a payout request.

7.3 Payout Processing Fee

A processing fee of 2% of the requested payout amount is automatically deducted from every payout. The fee is deducted before transfer. You receive the net amount after the 2% fee.

The 2% processing fee applies to all payout methods equally, including bank transfers and cryptocurrency payouts. The fee covers payment processing and network costs.

7.4 Payout Processing Time

After a payout request is approved, funds are transferred within the following timeframes:

  • Standard processing time: Up to 72 hours from request approval for all payout methods.
  • Bank Transfer: Additional banking processing time may apply depending on your bank and country. Allow 3–7 additional business days after the 72-hour processing window.
  • Cryptocurrency: Typically processed within the 72-hour window. Blockchain network confirmation times may vary.

The 72-hour processing window begins after your payout request has been reviewed and approved by the Company. Requests submitted on weekends or public holidays may be processed on the next business day.

7.5 KYC Verification

  • KYC verification may be required before your first payout or for payout requests above certain thresholds.
  • Required documents: government-issued photo ID and proof of address (dated within 3 months).
  • Payouts will not be processed until KYC verification is completed and approved.

7.6 General Payout Rules

  • Payouts to incorrect bank or wallet details provided by the user are not the Company’s responsibility.
  • The Company reserves the right to withhold payouts pending investigation of suspected fraud, policy violations, or AML concerns.
  • Commissions from refunded or disputed transactions will be reversed before payout.
  • Payout requests cannot be cancelled once submitted and approved.

8. Refund Policy

Purchases are generally non-refundable once delivered. IB Tokens are non-refundable once delivered to MetaMask wallet. EU consumers may have a 14-day withdrawal right unless waived at checkout.

Digital Goods & Non-Refundability

All digital goods and services provided through the Platform — including but not limited to IB Tokens, token creation services, NFT creation, ICO launch services, exchange listing services, and Affiliate Pro memberships — are non-refundable once delivery has commenced or been completed. By purchasing digital goods on the Platform, you acknowledge and agree that:

  • Digital goods are delivered immediately or upon project completion and cannot be “returned” once delivered.
  • IB Tokens delivered to your MetaMask wallet are final and irreversible.
  • Metaverse Mall rental activations are non-refundable once the rental period begins.

EU Consumer Right of Withdrawal (Directive 2011/83/EU): EU/EEA consumers normally have a 14-day right of withdrawal for online purchases. However, pursuant to Article 16(m) of the Consumer Rights Directive, you expressly consent to immediate performance of digital content delivery and acknowledge that you thereby waive your 14-day right of withdrawal once delivery of the digital content has begun. This waiver is confirmed at checkout. Where immediate delivery does not apply, the standard 14-day withdrawal period remains in effect.

9. Prohibited Conduct

You agree not to:

  • Fake or self-referrals, bots, or manipulation of the referral system
  • Fraud, phishing, spam, or deceptive practices
  • Using stolen payment methods or engaging in money laundering
  • Misrepresenting the Platform, services, or guaranteed earnings
  • Violating applicable laws in your jurisdiction
  • In the Metaverse Mall: harassment, illegal content, or unauthorized advertising

10. Account Suspension & Termination

  • Company may suspend or terminate accounts for violations or fraud.
  • Inactivity: Warning at 180 days. Deactivation at 210 days.
  • Upon termination for cause, pending commissions may be forfeited.
  • IB Tokens already delivered to MetaMask wallet are not affected by account deletion.

Grounds for Termination

The Company reserves the right to suspend or terminate your account, with or without prior notice, for any of the following reasons:

  • Violation of Terms — Breach of any provision of these Terms & Conditions, the Privacy Policy, AML Policy, or any other applicable Platform policies.
  • Fraud or illegal activity — Suspected or confirmed fraudulent activity, money laundering, identity theft, use of stolen payment methods, or any other illegal conduct.
  • Referral abuse — Manipulation of the referral system, self-referrals, use of bots, fake accounts, or deceptive practices to earn commissions.
  • Inactivity — No login or activity for 180 consecutive days triggers an automated email warning. If no activity occurs within an additional 30 days (210 days total), the account may be deactivated.
  • Regulatory compliance — Where required by law, regulation, or court order, or where the user resides in a restricted jurisdiction.

Notice of Termination

Where practicable, the Company will provide notice of termination via email to the address registered on your account. In cases of fraud, illegal activity, or imminent harm, the Company may suspend or terminate access immediately without prior notice. Upon termination, you will receive an email confirming account closure and any applicable balance forfeiture or payout status.

User-Initiated Account Deletion

You may request account deletion at any time through the account settings in your dashboard or by contacting contact@infinityblockchain.io. Upon receiving a valid deletion request, the Company will process the deletion within 30 days, subject to any outstanding payout obligations and legal data retention requirements.

  • Account Self-Deletion: You may permanently delete your account at any time through the account settings in your dashboard. Deletion removes your personal data from active systems. Data subject to legal retention obligations (AML records for 5 years under BSA/FinCEN, tax records, pending payouts) will be retained for the legally required period and then deleted. See our Privacy Policy Section 8 for details.

11. Intellectual Property & DMCA

All Platform content is the property of InfinityBlockchain LLC or its licensors. Unauthorized reproduction is prohibited.

DMCA Takedown Procedure (17 U.S.C. § 512)

If you believe content on our Platform (including the IB Metaverse Mall) infringes your copyright, submit a written DMCA notice to our designated agent with the following:

  • Identification of the copyrighted work claimed to be infringed
  • Identification and URL of the infringing material on our Platform
  • Your contact information (name, address, email, phone)
  • A statement of good-faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent
  • Your physical or electronic signature

We will respond to valid notices promptly, remove or disable access to infringing content, and notify the uploader. Repeat infringers will have their accounts terminated.

12. Limitation of Liability

Important: All services provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

  • No liability for indirect, incidental, or consequential damages.
  • No guarantees on commission earnings, token value, or investment returns.
  • Total liability limited to fees paid in the 12 months preceding the claim.

Cryptocurrency & Blockchain Liability Exclusions

In addition to the general limitations above, the Company shall not be liable for any loss, damage, or claim arising from:

  • Blockchain network issues — Including but not limited to network congestion, failed transactions, hard forks, protocol changes, validator or miner actions, or smart contract vulnerabilities on BNB Smart Chain or any other blockchain network.
  • Price volatility — Fluctuations in the value of IB Tokens, USDC, or any other cryptocurrency or digital asset. Token prices may decrease substantially or become worthless.
  • Wallet errors — Losses resulting from incorrect wallet addresses provided by the user, lost private keys, compromised wallets, unsupported wallet software, or failure to properly secure wallet credentials.
  • Irreversible transactions — Blockchain transactions are final and cannot be reversed, cancelled, or refunded by the Company once broadcast to the network.
  • Third-party exchange actions — Delistings, trading suspensions, or policies imposed by third-party cryptocurrency exchanges on which IB Tokens may be listed.
  • Regulatory changes — Changes in law or regulation that affect the legality, value, or transferability of digital assets in any jurisdiction.

13. Indemnification

You agree to indemnify InfinityBlockchain LLC from claims arising from your use of the Platform, violations of these Terms, or infringement of third-party rights.

14. Privacy, Data Protection & Security

Your use is governed by our Privacy Policy and Cookie Policy at infinityblockchain.io.

  • InfinityBlockchain LLC implements information security practices aligned with ISO 27001 standards, including risk assessment, access controls, encryption, incident response, and continuous improvement.
  • All data is transmitted via HTTPS/TLS encryption. Payment data is processed by PCI DSS Level 1 certified providers.
  • The Platform complies with the General Data Protection Regulation (GDPR) for EU/EEA users, including the appointment of an EU Representative pursuant to Art. 27 GDPR.
  • Anti-Money Laundering (AML) compliance is maintained in accordance with the Bank Secrecy Act (BSA), FinCEN guidelines, and applicable international AML standards. See our AML Policy for details.

Tax Obligations & Reporting

You are solely responsible for determining and fulfilling your tax obligations arising from the use of the Platform, including but not limited to:

  • Income tax on commission earnings and affiliate payouts
  • Capital gains or losses from the purchase, sale, or exchange of IB Tokens or other digital assets
  • VAT, sales tax, or goods and services tax as applicable in your jurisdiction
  • Reporting of cryptocurrency transactions to applicable tax authorities (e.g., IRS Form 8949/1099 in the US, or equivalent forms in your jurisdiction)

InfinityBlockchain LLC does not provide tax advice. The Company may issue tax reporting forms (e.g., 1099-MISC, 1099-NEC) to US-based users where required by IRS regulations. Consult a qualified tax professional regarding your specific obligations.

15. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved as follows:

Informal Resolution

Before initiating formal proceedings, the parties agree to attempt informal resolution by contacting contact@infinityblockchain.io. We will make good-faith efforts to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Sheridan County, Wyoming, or at the arbitrator’s discretion, remotely via video conference. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

Class Action & Jury Trial Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial. If this waiver is found to be unenforceable as to a particular claim, the parties agree that such claim shall be decided by a court of competent jurisdiction in Sheridan County, Wyoming.

EU/EEA & UK Users: Nothing in this section limits your statutory rights under mandatory consumer protection laws. EU consumers may also use the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. UK consumers retain the right to bring claims in UK courts.

16. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters, pandemics, epidemics, or public health emergencies
  • War, terrorism, civil unrest, sanctions, or embargoes
  • Government actions, regulatory changes, or court orders
  • Cyberattacks, DDoS attacks, or widespread internet outages
  • Blockchain network congestion, hard forks, or protocol-level failures
  • Third-party infrastructure failures (hosting providers, payment processors, cloud services)
  • Power outages or telecommunications failures

The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact. Performance obligations are suspended for the duration of the force majeure event.

17. Regulatory & Licensing Disclaimers

Important

InfinityBlockchain LLC is a Wyoming limited liability company. Users should be aware of the following regulatory disclosures:

  • EU MiCA Regulation — InfinityBlockchain LLC is not licensed or registered as a Crypto-Asset Service Provider (CASP) under the EU Markets in Crypto-Assets Regulation (MiCA, Regulation (EU) 2023/1114). The IB Token and related services are not offered, marketed, or distributed to EU/EEA residents as regulated crypto-asset services under MiCA. EU/EEA users access these services at their own initiative and risk.
  • US Securities Law — The IB Token is not registered as a security under the Securities Act of 1933 or any state securities laws. The Company does not operate as a broker-dealer, investment adviser, or money services business (MSB) unless separately registered as required.
  • UK FCA — InfinityBlockchain LLC is not authorised or registered by the UK Financial Conduct Authority (FCA). UK residents accessing crypto-related services do so outside the scope of FCA consumer protections and the Financial Services Compensation Scheme (FSCS).
  • No Investment Advice — Nothing on this platform constitutes financial, investment, tax, or legal advice. All decisions to purchase, hold, or dispose of digital assets are made at your sole discretion and risk. Past performance is not indicative of future results.

Restricted Jurisdictions: The Company does not provide services to residents of jurisdictions where crypto-asset services are prohibited by law, or to individuals or entities on any applicable sanctions list (OFAC, EU, UN). It is the user’s responsibility to ensure compliance with their local laws before using the platform.

Cryptocurrency Risk Disclaimers

Cryptocurrency and digital assets involve significant risk. You should carefully consider whether purchasing, holding, or transacting in digital assets is suitable for you in light of your financial condition.

  • Volatility: The value of IB Tokens and other digital assets can fluctuate significantly and rapidly. Prices may increase or decrease at any time, and you may lose part or all of your investment.
  • Irreversible Transactions: Blockchain transactions are irreversible. Once a transaction is confirmed on the network, it cannot be cancelled, reversed, or refunded by the Company or any third party.
  • Not Investment Advice: Nothing on this Platform constitutes investment, financial, tax, or legal advice. The Company does not recommend the purchase, sale, or holding of any digital asset. You should consult independent professional advisors before making any financial decisions.
  • No Guaranteed Value: The IB Token and any tokens received through the Token Participation program carry no guaranteed monetary value. Past performance is not indicative of future results.
  • Technology Risks: Digital assets rely on blockchain technology that may be subject to bugs, vulnerabilities, hacks, consensus failures, or unforeseen technical issues that could result in loss of assets.
  • Regulatory Uncertainty: The regulatory landscape for digital assets is evolving. Future laws or regulations may adversely affect the use, transfer, or value of digital assets.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Subject to the arbitration provisions in Section 15, any litigation shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

EU/EEA & UK Users: Mandatory consumer protection laws of your country of residence may apply regardless of the chosen governing law. Nothing in these Terms affects your rights as a consumer under applicable local law.

EU Consumer Rights Directive Notice

In accordance with Directive 2011/83/EU (Consumer Rights Directive) and Directive 93/13/EEC (Unfair Contract Terms Directive), EU/EEA users retain all statutory consumer rights mandated by their country of residence. These rights cannot be waived or limited by contract and include, but are not limited to:

  • The right to clear pre-contractual information about the service provider, prices, and terms before purchase.
  • The right to a 14-day withdrawal period for online purchases, except where lawfully waived for immediate digital content delivery (see Section 8).
  • Protection against unfair contract terms under national implementations of EU consumer law.
  • The right to seek remedies through national consumer protection authorities or the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

Where any provision of these Terms conflicts with mandatory EU consumer protection law applicable to you, the mandatory law shall prevail to the extent of the conflict.

19. Severability

If any provision is invalid, the remaining provisions remain in full force.

20. Changes to These Terms

Company may modify at any time with reasonable notice. Continued use constitutes acceptance.

22. IB Metaverse Mall

The IB Metaverse Mall is a virtual 3D business environment at mall.infinityblockchain.io allowing registered and guest users to navigate as avatars, rent advertising and shop spaces, and communicate in real time.

22.1 Guest Access

  • Guests must confirm 18+ age and accept T&C/Privacy Policy via entry popup.

22.2 Virtual Space Rentals

  • Ad Displays: $149/month. Shop Spaces: $299/month. Monthly billing, no long-term commitment. Non-refundable once activated.

22.3 Content Rules

  • All content must comply with applicable laws. Crypto advertising must not constitute unregistered securities offers. Non-compliant content removed without refund.

22.4 Liability

  • Company not liable for third-party content in the Mall. No guarantee of visitors or commercial results.
